1. Acceptance of Terms

This Hosting and Services Agreement (“Agreement”) governs your purchase and use of all services provided by IT Pro Services (ITPS), including but not limited to web hosting, website development, IT services, and digital solutions.

By purchasing or using any ITPS services, you agree to be bound by this Agreement, including all referenced policies (Refund Policy, Acceptable Use Policy, etc.).

ITPS reserves the right to modify this Agreement at any time. Continued use of services constitutes acceptance of updated terms.


2. Payment Terms

  • Customer agrees to pay all fees associated with selected services.
  • Payments are billed monthly, annually, or per project as agreed.
  • Failure to pay may result in:
    • Service suspension
    • Late fees
    • Termination of services
  • All payments are non-refundable unless explicitly stated in the Refund Policy.

3. Provision of Services

ITPS will provide services based on selected packages and features.

Customer agrees to:

  • Provide accurate and timely information
  • Cooperate with ITPS for service delivery

ITPS is not responsible for delays caused by:

  • Missing content or materials
  • Client inaction or communication delays

4. Ownership & Website Rights

Customer Content

Customer retains ownership of all content provided (text, images, data, etc.).

ITPS Ownership

  • ITPS retains ownership of:
    • Website design
    • Code structure
    • Templates
    • Backend systems

If the customer cancels services or fails to pay:

  • The customer loses the right to use the website and design
  • ITPS may suspend or remove access

5. Background Technology & License

“Background Technology” includes all systems, code, frameworks, and infrastructure developed or used by ITPS.

Customer:

  • Is granted a limited, non-transferable license to use services
  • May NOT:
    • Copy, resell, or distribute technology
    • Reverse-engineer or modify systems

All rights remain exclusively with ITPS.


6. License to Use Customer Content

Customer grants ITPS a limited license to:

  • Host
  • Display
  • Modify (for functionality)
  • Deliver services using provided content

This license ends upon service termination.


7. Acceptable Use & Content Policy

Customer agrees NOT to use services for:

  • Illegal activities
  • Copyright infringement
  • Spam, phishing, or fraud
  • Malware or harmful code
  • Pornographic, violent, or abusive content

ITPS reserves the right to:

  • Suspend or terminate services immediately
  • Remove content without notice

8. Resource Usage & Server Protection

To maintain service quality:

  • Excessive resource usage is prohibited
  • Accounts impacting server performance may be:
    • Throttled
    • Suspended
    • Terminated

No refunds will be issued for violations.


9. Support

  • Standard support is provided via email
  • Phone support is available if included in your plan
  • Response times may vary based on issue complexity

10. Term & Termination

This Agreement remains active until terminated.

ITPS may terminate services if:

  • Payment is not made
  • Terms are violated
  • Abuse or fraud is detected

Upon termination:

  • All outstanding balances are due immediately
  • Services and access may be revoked

11. Refund Policy Reference

All refunds are governed by the official Refund Policy.

Key points:

  • 30-day guarantee applies to hosting only
  • No refunds for digital or custom services
  • Violations void refund eligibility

12. Warranty Disclaimer

All services are provided “as is” and “as available.”

ITPS makes no guarantees regarding:

  • Uptime
  • Performance
  • Error-free operation

ITPS is not liable for:

  • Downtime
  • Data loss
  • Interruptions

13. Limitation of Liability

ITPS liability is limited to:

The total amount paid by the customer within the last three (3) months

ITPS is NOT liable for:

  • Lost profits
  • Data loss
  • Business interruption
  • Indirect or consequential damages

14. Indemnification

Customer agrees to defend and indemnify ITPS against any claims resulting from:

  • Misuse of services
  • Violation of laws
  • Content-related disputes

15. Fraud & Chargebacks

  • Fraudulent activity will result in immediate termination
  • Chargebacks without prior contact will lead to:
    • Account suspension
    • Permanent ban
    • Legal recovery actions

16. Data & Backup Responsibility

  • Customers are responsible for maintaining backups
  • ITPS may provide backups but does not guarantee data recovery

17. Force Majeure

ITPS is not liable for failure due to events beyond control, including:

  • Natural disasters
  • Cyberattacks
  • Power or network outages

18. Governing Law

This Agreement is governed by the laws of the State of Florida, United States.
