1. Acceptance of Terms

These Terms and Conditions (“Agreement”) govern your purchase and use of services provided by IT Pro Services LLC (“ITPS,” “we,” “us,” or “our”), including but not limited to web hosting, website development, managed IT services, cybersecurity services, digital marketing, social media services, cloud services, AI automation, consulting, and other technology solutions.

By purchasing, accessing, or using ITPS services, you agree to be bound by this Agreement and any policies incorporated by reference, including our Privacy Policy, Refund Policy, and Acceptable Use Policy.

ITPS reserves the right to modify these Terms from time to time. Updated Terms will become effective when posted unless otherwise stated. Continued use of our services following an update constitutes acceptance of the revised Terms.

2. Payment Terms

Customers agree to pay all fees associated with the services or packages they select.

Services may be billed monthly, annually, one-time, per project, or according to another billing schedule agreed upon between ITPS and the customer.

Failure to make payment when due may result in:

  • Suspension of services

  • Late fees where applicable

  • Restriction of account access

  • Termination of services

Payments are subject to our applicable Refund Policy and any written agreement governing the specific service purchased.

3. Provision of Services

ITPS will provide services according to the applicable service package, proposal, statement of work, order, or other written agreement.

Customers agree to provide accurate information, materials, credentials, approvals, and cooperation reasonably necessary for ITPS to provide the services.

ITPS is not responsible for delays resulting from:

  • Missing or incomplete customer materials

  • Delayed customer approvals

  • Customer inaction

  • Third-party services or providers

  • Circumstances outside ITPS’s reasonable control

4. Ownership and Website Rights

Customer Content

Customers retain ownership of content they provide to ITPS, including text, images, videos, logos, data, and other materials, subject to any applicable third-party rights.

ITPS Materials

Unless otherwise agreed to in writing, ITPS retains ownership of its proprietary:

  • Website designs

  • Code

  • Templates

  • Software

  • Automation systems

  • Processes

  • Frameworks

  • Backend systems

  • Documentation

  • Background technology

Any customer rights to use ITPS-owned materials are subject to the applicable service agreement, license, payment requirements, and these Terms.

5. Background Technology and License

“Background Technology” includes software, source code, frameworks, systems, configurations, processes, tools, templates, infrastructure, and other technology developed, licensed, or used by ITPS in providing services.

Unless otherwise agreed in writing, customers receive only a limited, non-exclusive, non-transferable license to use Background Technology as necessary to receive the purchased services.

Customers may not, except where permitted by applicable law:

  • Copy or distribute proprietary ITPS technology

  • Sell or sublicense ITPS technology

  • Reverse-engineer proprietary systems

  • Decompile proprietary software

  • Attempt to derive proprietary source code

  • Remove proprietary notices

All rights not expressly granted are reserved by ITPS.

6. License to Use Customer Content

Customers grant ITPS a limited, non-exclusive license to host, copy, display, transmit, modify, and otherwise use Customer Content solely as reasonably necessary to provide the requested services.

This license generally terminates when the applicable services end, except where continued retention is required by law, backup processes, dispute resolution, or legitimate business recordkeeping requirements.

7. Acceptable Use and Content Policy

Customers may not use ITPS services for activities involving:

  • Illegal conduct

  • Fraud or deceptive practices

  • Unauthorized access to systems or accounts

  • Spam or unlawful communications

  • Phishing

  • Malware or malicious code

  • Intellectual property infringement

  • Content that violates applicable law

  • Activities that threaten the security or reliability of ITPS systems

ITPS may suspend, restrict, or terminate services when reasonably necessary to protect ITPS, its customers, third parties, or its infrastructure.

8. Resource Usage and Server Protection

Customers may not use hosting, server, network, or other computing resources in a manner that materially interferes with other customers or ITPS infrastructure.

ITPS may take reasonable action to address excessive or abusive resource usage, including:

  • Resource limiting

  • Temporary throttling

  • Suspension

  • Service migration

  • Termination

9. Support

Standard support may be provided through email, ticketing systems, telephone, remote assistance, or other communication methods depending on the customer’s service plan.

Response times may vary based on:

  • Service level

  • Issue severity

  • Technical complexity

  • Business hours

  • Third-party dependencies

Any guaranteed response times must be stated in a separate written service-level agreement.

10. Term and Termination

This Agreement remains effective while you use ITPS services.

ITPS may suspend or terminate services for reasons including:

  • Nonpayment

  • Material breach of these Terms

  • Fraud

  • Abuse

  • Security threats

  • Illegal activity

  • Material misuse of services

Upon termination, outstanding amounts owed for services already provided remain due.

Provisions that by their nature should survive termination will continue to apply after termination.

11. Refund Policy

Refund eligibility is governed by the applicable ITPS Refund Policy and any written service agreement.

Where applicable, hosting services may qualify for a stated money-back period under the Refund Policy.

Custom development, professional services, digital services, completed work, third-party charges, and other services may be non-refundable as described in the applicable Refund Policy or agreement.

12. Warranty Disclaimer

Except where expressly stated in writing, ITPS services are provided “as is” and “as available.”

To the fullest extent permitted by applicable law, ITPS does not guarantee uninterrupted, error-free, or completely secure operation of any service.

Temporary interruptions may occur because of maintenance, technical failures, telecommunications issues, third-party service interruptions, cybersecurity incidents, or circumstances outside ITPS’s reasonable control.

13. Limitation of Liability

To the fullest extent permitted by applicable law, ITPS’s aggregate liability arising from or relating to the applicable services will not exceed the amount paid by the customer to ITPS for those services during the three (3) months immediately preceding the event giving rise to the claim.

To the fullest extent permitted by law, ITPS will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of data, or business interruption.

Some jurisdictions do not permit certain exclusions or limitations of liability, so some limitations may not apply in all circumstances.

14. Indemnification

Customers agree, to the extent permitted by law, to defend, indemnify, and hold harmless ITPS and its officers, employees, contractors, and agents from third-party claims arising from:

  • Customer misuse of services

  • Customer-provided content

  • Customer violation of applicable law

  • Customer violation of third-party rights

  • Customer breach of these Terms

15. Fraud and Chargebacks

Fraudulent activity may result in immediate restriction or termination of services.

Customers should contact ITPS regarding billing concerns before initiating a chargeback so we have an opportunity to investigate and resolve the matter.

ITPS reserves the right to suspend services associated with disputed or unpaid charges and to pursue lawful collection remedies where appropriate.

16. Data and Backup Responsibility

Unless a separate written agreement specifically states otherwise, customers are responsible for maintaining independent backups of important data and content.

ITPS may provide backup services as part of certain plans; however, no backup system can guarantee recovery under every circumstance.

17. Force Majeure

ITPS will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including:

  • Natural disasters

  • Severe weather

  • Power failures

  • Internet or telecommunications outages

  • Cyberattacks

  • Government actions

  • Labor disruptions

  • Third-party service failures

  • Other events outside ITPS’s reasonable control

Use of personal information is governed by the IT Pro Services LLC Privacy Policy:

19. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.

20. SMS and Text Messaging Terms

SMS Program

IT Pro Services LLC may offer an SMS messaging program for customers and prospective customers who voluntarily opt in to receive text messages.

By opting in, you consent to receive text messages from IT Pro Services at the mobile telephone number you provide.

Messages may include:

  • Customer care and support communications

  • Responses to service inquiries

  • Consultation and appointment follow-ups

  • Service-related communications

  • Marketing and promotional communications

  • Information regarding IT Pro Services products and services

Consent to receive SMS marketing messages is not a condition of purchasing any product or service.

Message Frequency

Message frequency varies based on your interaction with IT Pro Services, the services you request, and your communication preferences.

Message and Data Rates

Message and data rates may apply.

Your mobile carrier’s standard messaging and data charges may apply to messages sent to or received from IT Pro Services.

Opting Out

You may unsubscribe from SMS messages at any time by replying:

STOP

After you send STOP, you may receive a confirmation message indicating that you have been unsubscribed. No further messages from that SMS program will be sent unless you subsequently opt in again.

You may rejoin the SMS program by completing an IT Pro Services SMS opt-in process again or, where supported, by replying START.

ITPS may update these Terms periodically.

When changes are made, the Effective Date at the top of this page will be updated. Continued use of ITPS services after updated Terms become effective constitutes acceptance of those updated Terms where permitted by applicable law.
